Terms of Service

1. Introduction and Acceptance of Terms

Welcome to Authentiya. These Terms of Service (“Terms”) constitute a legally binding agreement between you and Authentiya LLC (“Authentiya,” “we,” “our,” or “us”) governing your access to and use of the Authentiya platform, including our website at authentiya.com and all associated services, features, and content (collectively, the “Service”).

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not access or use the Service.

These Terms apply to all visitors, users, and others who access the Service, including teachers, school administrators, and students (each a “User”).


2. Description of Service

Authentiya is an educational technology (EdTech) platform designed to help K-12 educators responsibly integrate artificial intelligence into their classrooms. The Service enables teachers to:

  • Create and manage virtual classes and learning modules;
  • Configure AI behavior levels and usage boundaries on a per-class or per-assignment basis;
  • Monitor student AI interactions in real time through a teacher dashboard;
  • Receive automated flags for content that may require review;
  • Build AI literacy skills among K-12 learners through structured, supervised AI engagement.

Students access Authentiya under the supervision of their teacher and use the Service to complete learning modules, engage with AI-assisted content, and develop skills for responsible AI use. The Service is intended solely for lawful educational purposes.


3. Account Registration and Eligibility

Eligibility. To register for an account independently, you must be at least 13 years of age. Users under the age of 13 may only access the Service through an account created and managed by an authorized school or educational institution that has entered into a separate agreement with Authentiya governing the collection and use of personal information for students under 13, as required by applicable law including the Children's Online Privacy Protection Act (COPPA).

Teacher and school accounts. Teachers and school administrators represent and warrant that they have the authority to accept these Terms on behalf of their institution where required, and that their use of the Service complies with all applicable school, district, state, and federal laws and regulations, including the Family Educational Rights and Privacy Act (FERPA).

Account accuracy. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for all activity that occurs under your account.

Account security. You are solely responsible for maintaining the confidentiality of your login credentials. You agree to notify Authentiya immediately at legal@authentiya.com if you suspect any unauthorized access to or use of your account. Authentiya will not be liable for any loss or damage arising from your failure to comply with these obligations.

One account per person. Each user may maintain only one active account. You may not create multiple accounts, share your account with others, or transfer your account to another person without Authentiya's prior written consent.


4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to:

  • Use the Service for any purpose that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable;
  • Attempt to circumvent, disable, or otherwise interfere with any safety, moderation, or content-filtering features of the Service, including AI usage boundaries set by a teacher;
  • Submit prompts or content to the AI features designed to elicit harmful, inappropriate, or sexually explicit material;
  • Harass, bully, or intimidate any other user, whether a student, teacher, or administrator;
  • Use the Service to impersonate any person or entity or to misrepresent your affiliation with any person or entity;
  • Attempt to gain unauthorized access to any portion of the Service or any other system or network connected to the Service;
  • Use any automated means, including bots, scrapers, or data-mining tools, to access or collect data from the Service without Authentiya's prior written consent;
  • Introduce any virus, malware, or other malicious code into the Service;
  • Use the Service to transmit unsolicited commercial communications;
  • Resell, sublicense, or otherwise commercially exploit the Service without Authentiya's prior written authorization.

Authentiya reserves the right to investigate and take appropriate action against anyone who, in Authentiya's sole discretion, violates this Acceptable Use Policy, including suspending or terminating accounts and reporting conduct to law enforcement authorities.


5. Teacher Responsibilities

Teachers and school administrators who use the Service to set up and manage classes bear primary responsibility for the appropriate use of the Service within their classrooms. By using the Service in a teaching capacity, you agree to:

  • Configure AI behavior levels and usage boundaries in a manner appropriate for your students' age, grade level, and learning objectives;
  • Supervise student use of the Service and promptly review any content flags generated by Authentiya's monitoring features;
  • Ensure that students in your class who are under 13 years of age access the Service only in compliance with applicable law and any agreement between your school and Authentiya;
  • Obtain any required parental or guardian consents prior to enrolling students in the Service, as required by your school, district, or applicable law;
  • Comply with your institution's acceptable use policies and all applicable federal, state, and local laws and regulations, including FERPA and COPPA;
  • Not share class invite codes or student access credentials with unauthorized individuals;
  • Promptly notify Authentiya of any suspected misuse, inappropriate content, or safety concern arising from use of the Service in your classroom.

Authentiya's monitoring and flagging tools are provided as a supplement to, and not a substitute for, active teacher supervision. Teachers remain ultimately responsible for the educational environment in their classrooms.


6. Student Use

Students access and use the Service under the supervision of their teacher or school. By using the Service as a student, you acknowledge and agree that:

  • Your use of AI features within the Service is subject to the boundaries and settings configured by your teacher, and you must not attempt to circumvent those settings;
  • All of your AI interactions, submitted content, and activity within the Service are monitored by Authentiya's systems and are visible to your teacher and, where required by law or school policy, to school administrators;
  • Content that is flagged by Authentiya's moderation systems may be reviewed by your teacher or Authentiya staff;
  • You will use the Service honestly and in compliance with your school's academic integrity policies;
  • You will not submit any content that is harmful, threatening, harassing, or otherwise inappropriate for an educational setting.

Students are encouraged to use Authentiya as a learning tool that builds genuine understanding, not as a means to complete work without engagement or thought.


7. AI-Generated Content

The Service incorporates AI language model features powered by third-party providers, including Anthropic's Claude. You acknowledge and agree that:

  • Accuracy not guaranteed. AI-generated outputs may be incomplete, inaccurate, misleading, or inappropriate for a given context. AI responses should not be relied upon as authoritative sources of factual information, professional advice, or subject-matter expertise.
  • Educational supplement only. AI features within the Service are designed to support learning and critical thinking, not to replace teacher instruction, professional judgment, or independent student work.
  • No liability for AI outputs. To the fullest extent permitted by applicable law, Authentiya is not liable for any loss, damage, or harm arising from reliance on AI-generated content produced through the Service.
  • User responsibility. You are responsible for evaluating the accuracy and appropriateness of any AI-generated content before acting on it or submitting it as your own work.
  • Third-party AI providers. AI capabilities within the Service may be subject to the terms and policies of third-party AI providers. Authentiya does not warrant the continued availability of any particular AI model or feature.

8. Intellectual Property

Your content. You retain all ownership rights in the content you create, upload, or submit through the Service (“User Content”), including lesson modules, assignments, student work, and other materials. By submitting User Content, you grant Authentiya a limited, non-exclusive, royalty-free, worldwide license to use, store, reproduce, and display your User Content solely as necessary to operate, maintain, and improve the Service and to fulfill our obligations to you.

You represent and warrant that you own or have the necessary rights to the User Content you submit, and that your User Content does not infringe the intellectual property rights, privacy rights, or other legal rights of any third party.

Authentiya's intellectual property. The Service and all of its content, features, and functionality — including but not limited to software, code, design, graphics, text, trademarks, service marks, and the “Authentiya” name and logo — are owned by Authentiya LLC or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of any portion of the Service without Authentiya's prior written consent.

Feedback. If you provide Authentiya with suggestions, ideas, or feedback about the Service (“Feedback”), you grant Authentiya an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate that Feedback into the Service without any obligation to compensate you.


9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how Authentiya collects, uses, stores, and shares information about you when you use the Service, including information about students.

We are committed to protecting the privacy of students, especially those under 13. Our data practices related to student information are designed to comply with FERPA, COPPA, and applicable state student privacy laws. We do not sell student personal information to third parties or use it for advertising purposes.

Please review our Privacy Policy carefully before using the Service. By using the Service, you consent to the data practices described in the Privacy Policy.


10. Disclaimers and Limitation of Liability

Disclaimer of warranties. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AUTHENTIYA DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AUTHENTIYA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AUTHENTIYA LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR INTERRUPTION OF BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF AUTHENTIYA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL AUTHENTIYA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO AUTHENTIYA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities, so some of the above limitations may not apply to you.


11. Termination

By Authentiya. Authentiya reserves the right, in its sole discretion, to suspend or terminate your access to the Service at any time and for any reason, including, without limitation, if we believe you have violated these Terms, engaged in conduct harmful to other users or to Authentiya, or for any other reason consistent with applicable law. Authentiya will endeavor to provide notice of suspension or termination where practicable, but is not obligated to do so in cases involving serious violations, legal obligations, or safety concerns.

By you. You may terminate your account at any time by contacting us at legal@authentiya.com or using any account deletion functionality available within the Service. Termination of your account does not entitle you to any refund of fees paid, except as required by applicable law.

Effect of termination. Upon termination, your right to access and use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitation of liability, and governing law — will survive.


12. Changes to These Terms

Authentiya reserves the right to modify these Terms at any time. When we make material changes, we will provide notice by one or more of the following methods: (a) updating the “Last updated” date at the top of this page, (b) sending an email to the address associated with your account, or (c) displaying a prominent notice within the Service.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account as described in Section 11.

We encourage you to review these Terms periodically to stay informed of any updates. The most current version of the Terms will always be available at authentiya.com/terms.


13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you and Authentiya each irrevocably consent to personal jurisdiction and venue in those courts, except where applicable law requires otherwise.

You agree that any claim or cause of action arising out of or related to your use of the Service must be filed within one (1) year after such claim or cause of action arose. Claims filed after that period are permanently barred.
